Software License Agreement
EMS Platform – Fulfillment Hub & Partner Connect
Effective Date: March 1, 2026
This Software License Agreement (“Agreement”) governs the use of the EMS platform software provided by EMS Backend Services LLC, a Maine limited liability company (“EMS”, “we”, “our”, or “us”).
By purchasing, installing, accessing, or using the EMS software, you (“Licensee”, “Client”, or “User”) agree to be bound by the terms of this Agreement.
1. Grant of License
Upon purchase of a valid license, EMS grants the Licensee a non-exclusive, non-transferable, revocable license to install and operate the EMS software in accordance with the license tier purchased.
The EMS platform includes, but is not limited to:
• EMS Fulfillment Hub
• EMS Partner Connect
• supporting software modules
• associated API integration components
The license allows the software to be used solely for operating a WooCommerce-based supplier-to-partner distribution network.
This Agreement does not transfer ownership of the software.
All intellectual property rights remain the property of EMS Backend Services LLC.
2. License Scope
The scope of permitted installations is determined by the license tier purchased.
Licenses may include restrictions such as:
• number of supplier installations
• number of partner connections
• number of domains where the software may be installed
License holders must operate within the limits defined by their purchased license tier.
EMS reserves the right to enforce license limits where applicable.
3. Self-Managed License Environments
For Self-Managed licenses, the Licensee is responsible for the operation and maintenance of their own technical environment.
This includes:
• server hosting
• WordPress installation
• WooCommerce configuration
• plugin installation
• server security and updates
• backups and system maintenance
EMS Backend Services provides software only and is not responsible for hosting environments or infrastructure issues within Self-Managed installations.
4. Managed Service Environments
For Managed Service clients, EMS may provide hosting, infrastructure management, and technical maintenance as part of the selected service plan.
Managed service agreements are governed by the EMS Terms of Service in addition to this license agreement.
Managed service customers do not receive rights to redistribute or separately license the EMS software.
5. Software Updates
EMS may release updates to improve functionality, maintain compatibility with WordPress or WooCommerce, and address security concerns.
Access to updates may require an active license renewal or subscription, depending on the plan purchased.
EMS does not guarantee compatibility with:
• third-party plugins
• custom themes
• modified WooCommerce installations
• custom code modifications made by the Licensee.
6. Restrictions on Use
The Licensee agrees not to:
• reverse engineer, decompile, or disassemble the software
• redistribute plugin files
• sublicense or resell the software
• create derivative works for commercial redistribution
• remove copyright or ownership notices from the software
Unauthorized use or distribution of the EMS software may result in immediate termination of the license.
7. Intellectual Property Rights
All intellectual property rights associated with the EMS platform remain the exclusive property of EMS Backend Services LLC.
This includes:
• source code
• compiled plugin files
• platform architecture
• API structure
• documentation
• branding and trademarks
Nothing in this Agreement grants ownership rights to the Licensee.
8. Third-Party Compatibility
The EMS platform operates within the WordPress and WooCommerce ecosystem and may interact with third-party plugins or services.
EMS Backend Services does not guarantee compatibility with all third-party software.
The Licensee assumes responsibility for conflicts caused by:
• custom plugins
• themes
• server configurations
• additional integrations.
9. Limitation of Warranty
The EMS software is provided “as is” without warranties of any kind.
EMS Backend Services makes no guarantees regarding:
• uninterrupted operation
• error-free performance
• compatibility with future software updates
• performance within third-party hosting environments
The Licensee assumes all risks associated with using the software.
10. Limitation of Liability
EMS Backend Services shall not be liable for any damages resulting from the use or inability to use the software.
This includes, but is not limited to:
• lost revenue
• lost data
• service interruptions
• partner network failures
• fulfillment errors
• business disputes
In all cases, EMS liability shall not exceed the total amount paid by the Licensee for the software license.
11. Termination of License
EMS Backend Services reserves the right to terminate this license if the Licensee violates the terms of this Agreement.
Upon termination, the Licensee must immediately cease using the EMS software and remove all installations from their systems.
12. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Maine, United States, without regard to conflict of law provisions.
13. Acceptance of Agreement
By installing, purchasing, or operating the EMS software, the Licensee confirms that they have read, understood, and agree to the terms of this Software License Agreement.
Use of the EMS platform constitutes acceptance of this Agreement.
